TOS Addendum Integration Master

ADDENDUM TO SW DEVELOPMENT LLC TERMS OF SERVICE

This Addendum (“Addendum”) to the TOS is required because Software Integration Company (“SIC”) has integrated SW Development LLC’s Software in SIC’s Software. All defined terms have the definition as provided for in the SW Development LLC Terms of Service. You as the Member Account holder must agree to the terms of this Addendum in addition to the terms of the TOS and do so agree by (a) actually using the Service or (b) clicking a box that indicates you agree to the Service, where such a box is made available to you. If you do not agree to anything in the TOS or this Addendum you cannot use the Service. In the event of conflicting terms of this Addendum with the terms of the TOS, the terms of this Addendum control.

“Software Integration Company” (“SIC”), is hereinafter defined as any company that integrates SW Development LLC’s Software into the SIC’s software for purposes of providing a package to its customers.

Access to Your Account by SIC

You understand that as an integration of SW Development LLC’s Software in SIC’s Software, SIC will have access to all of your account information and Content. SW Development LLC is in no way liable for disclosure of your account information or Content to SIC. The disclosure by SW Development LLC to SIC does not breach any privacy agreement or policy of SW Development LLC. Any agreement regarding use of your account information or Contact by SIC is between you and SIC, is outside of the scope of the TOS and this Addendum and must be entered into by you and SIC.

Content

You, not the SIC, are responsible for all materials and Content you submit or make available on the Service and as such you own all right, title and interest in such materials and Content. Even if you terminate your relationship with SIC, such materials and Content shall be owned. Any agreement regarding such materials and Content that you have with SIC is between you and SIC, is outside of the scope of the TOS and this Addendum and must be entered into by you and SIC.

Payment

Notwithstanding anything to the contrary in the TOS, SIC has agreed to pay all fees and charges for your use of the Service. You shall not be required to make any payments to SW Development LLC for your use of the Service.

Termination by SIC

SIC may terminate your account and/or stop providing use of the Service to you at any time.

General

The TOS as amended by this Addendum constitute the entire agreement between you and SW Development LLC, govern your use of the Service and completely replace any prior or contemporaneous agreements between you and SW Development LLC in relation to the Service.
